JATIMTIMES - Perubahan besar terjadi di tubuh PT Matahari Department Store Tbk. Perusahaan ritel yang sudah puluhan tahun dikenal masyarakat ini resmi mengganti nama menjadi PT MDS Retailing Tbk.

Keputusan tersebut diambil dalam Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) yang digelar pada Rabu, 15 April 2026. Karena hal ini, nama Matahari pun menjadi trending dalam penelusuran Google hingga Sabtu (18/4/2026) sore.

Langkah perubahan ini bukan tanpa alasan. Pergantian nama menjadi bagian dari penyesuaian arah bisnis sekaligus strategi perusahaan ke depan di tengah persaingan industri ritel yang terus berubah.

Dalam hasil RUPSLB, mayoritas pemegang saham menyetujui perubahan nama tersebut. Total 1.588.241.118 saham atau sekitar 93,181% dari suara yang hadir dalam rapat memberikan persetujuan.

"Menyetujui perubahan nama Perseroan dari PT Matahari Department Store Tbk menjadi PT MDS Retailing Tbk," tulis ringkasan risalah RUPSLB LPPF dalam keterbukaan informasi, dikutip Sabtu (18/4/2026).

Perubahan nama ini juga diikuti dengan revisi Pasal 1 ayat (1) Anggaran Dasar Perseroan yang mengatur identitas resmi perusahaan.

Tak hanya soal pergantian nama, rapat tersebut juga memutuskan langkah korporasi lainnya. Salah satunya terkait pengalihan saham hasil pembelian kembali (treasury stock).

Perseroan menyetujui penarikan kembali sebanyak 31.000.000 saham yang sebelumnya dibeli melalui program buyback hingga 9 April 2026. Langkah ini dilakukan melalui skema pengurangan modal ditempatkan dan disetor.

Selain itu, dalam Rapat Umum Pemegang Saham Tahunan (RUPST) yang digelar bersamaan, perusahaan juga menyepakati pembagian dividen tunai.

"Dividen final akan dibagikan kepada Pemegang Saham yang namanya tercatat dalam Daftar Pemegang Saham Perseroan pada tanggal 27 April 2026 sampai dengan pukul 16.00 WIB," pungkas ringkasan risalah RUPSLB LPPF dalam keterbukaan informasi.

Adapun nilai dividen yang dibagikan sebesar Rp 250 per saham dari laba bersih tahun buku 2025.

Perubahan nama ini menandai babak baru dari perjalanan panjang Matahari di industri ritel Indonesia. Berdasarkan catatan perusahaan, bisnis ini pertama kali beroperasi pada 24 Oktober 1958 melalui gerai perdananya di Jakarta.

Seiring waktu, Matahari berkembang pesat dan sempat berada di bawah naungan PT Matahari Putra Prima Tbk yang melantai di bursa melalui IPO pada 1992.

Perjalanan bisnisnya terus berubah. Pada 2009, divisi Matahari Department Store diakuisisi oleh PT Pacific Utama Tbk, sebelum akhirnya berdiri sebagai entitas independen di bawah LPPF.

Kemudian pada 2010, kepemilikan beralih ke anak usaha Asia Color Company Limited melalui PT Meadow Indonesia. Struktur kepemilikan terus mengalami perubahan hingga akhirnya pada 2021 Grup Auric ditetapkan sebagai pengendali perseroan.
